Welcome to Mayer Nutrition. These Terms and Conditions ("Terms") govern your access to and use of mayernutrition.com (the "Site") and your purchase of products from Mayer Nutrition LLC ("Mayer Nutrition," "we," "us," or "our"), including one-time purchases and subscription orders. Our Site is hosted on Shopify.

By using the Site or placing an order, you agree to these Terms. Please read them carefully. If you do not agree, please do not use the Site or place an order.

1. Eligibility

You must be at least 18 years old to make a purchase. By accessing the Site or placing an order, you confirm that you are of legal age and capable of entering into a binding agreement.

You agree to provide accurate, current, and complete information when placing an order and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. Products, medical disclaimer, and product information

We sell dietary supplements, food products, and other consumer goods. Our products are not intended to diagnose, treat, cure, or prevent any disease. Statements made on the Site regarding dietary supplements have not been evaluated by the U.S. Food and Drug Administration.

All content on the Site, including product descriptions, articles, and research references, is provided for general informational purposes only and is not medical advice. It should not be used to diagnose or treat any health condition and is not a substitute for consultation with a qualified healthcare professional.

Consult a healthcare professional before using any dietary supplement, particularly if you are pregnant, nursing, under 18, taking prescription medication, or managing a medical condition. Discontinue use and seek medical attention if you experience an adverse reaction.

We work to describe our products accurately, but we do not warrant that product descriptions, ingredient listings, images, or other Site content are complete, current, or error-free. Product formulations, packaging, and labeling may change over time. The label on the product you receive governs. Colors and images may vary by display.

3. Orders, pricing, and payment

All prices are stated in U.S. dollars unless a different currency is displayed at checkout. Prices are subject to change without notice, except that changes to subscription pricing are governed by Section 4.

Placing an order constitutes an offer to purchase. We accept your offer when we ship the order. By placing an order, you authorize us to charge your selected payment method for the full order amount, including applicable taxes and shipping.

We reserve the right to:

  • Refuse, limit, or cancel any order, including for suspected fraud, unauthorized resale, or violation of these Terms;
  • Limit or cancel quantities purchased per person, per household, or per order; and
  • Correct pricing or description errors, including after an order has been submitted. Where a material error is discovered after payment, we will cancel the order and issue a full refund rather than fulfill at the erroneous price.

Applicable sales tax is calculated at checkout based on your shipping address.

4. Subscriptions and automatic renewal

We offer optional subscription plans on select products. Subscription terms, including the products included, the billing interval, and the price, are disclosed at the point of sale before you provide payment information, and you must affirmatively consent to those terms in order to enroll.

By enrolling in a subscription, you agree that:

  • Your subscription will continue on the interval you selected until you cancel it;
  • Your selected payment method will be charged automatically at each renewal, at the then-current subscription price; and
  • You will receive an order confirmation and shipping notification for each renewal.

Cancellation. You may cancel your subscription at any time, online, through your customer account portal or using the cancellation link included in your subscription emails. Cancellation takes effect immediately and applies to all future orders. You are not required to call, chat, or email us to cancel, and you are not required to complete any additional step that delays cancellation. Cancellation does not affect an order that has already been billed and entered fulfillment.

Changes to your plan. You may also skip, pause, reschedule, or edit a subscription at any time through your customer account portal, or by emailing hello@mayernutrition.com.

Price changes. If we change the price of an active subscription, we will notify you by email not less than seven and not more than thirty days before the new price takes effect, together with instructions on how to cancel.

Reminders. We will send you a periodic reminder identifying the subscription, the billing frequency and amount, and how to cancel.

Refunds and subscriptions. If we issue a refund under our refund policy, we will also cancel your subscription at the same time unless you tell us otherwise.

We may modify or discontinue subscription offerings prospectively. If we discontinue a plan you are enrolled in, we will notify you and will not bill you for further renewals under that plan.

5. Shipping, returns, and refunds

Shipping timelines are estimates and may vary based on destination, carrier performance, and external factors including weather, postal delays, and high-volume periods.

Shipping, delivery, returns, and refunds are governed by our Returns and Shipping page, available on the Site, which is incorporated into these Terms by reference. If these Terms and the Returns and Shipping page conflict on those subjects, the Returns and Shipping page controls.

We are unable to accept returns of dietary supplements or food products. Where a refund is offered, it is issued without requiring return of the product. Refund requests outside of damaged, incorrect, or misdescribed orders are reviewed individually and may result in a replacement, store credit, or a partial or full refund at our discretion. Our refund policy applies to consumer purchases made directly through mayernutrition.com and does not apply to wholesale, distributor, or retail partner orders.

6. International orders

We ship to the United States and to select international destinations shown at checkout. International orders may be subject to customs duties, taxes, and import fees imposed by the destination country. These charges are the recipient's responsibility and are separate from amounts paid to us. We do not refund shipping charges, duties, or taxes on international orders.

We do not recommend the use of third-party freight forwarders or package consolidators. We cannot accept responsibility for loss, damage, spoilage, or customs seizure of products shipped through such services, and cannot provide replacements or refunds in those circumstances.

You are responsible for ensuring that the products you order may lawfully be imported into your destination country. We make no representation that our products are appropriate or available for sale in any particular jurisdiction. Nothing in these Terms is intended to deprive a consumer of any right that cannot be waived under the mandatory law of their country of residence.

7. Reviews, photographs, and other user content

You may be able to submit reviews, ratings, photographs, comments, or other content to the Site or to a third-party review platform we use ("User Content"). You retain ownership of your User Content.

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display that content, in whole or in part, in any media now known or later developed, including in advertising and marketing, in connection with our products and brand, together with any name, username, or likeness you submit with it.

You represent that you own or control all rights in your User Content, that it is accurate and reflects your honest opinion and experience, that you have obtained the consent of any identifiable person appearing in it, and that it does not infringe the rights of any third party or violate any law.

You agree not to submit User Content that is unlawful, defamatory, obscene, harassing, or fraudulent, or that makes claims about the treatment, prevention, or cure of any disease. We may remove or decline to publish User Content at our discretion, but we do not undertake to review all User Content.

We do not offer compensation, free product, discounts, or other consideration in exchange for a review.

8. Email and text message communications

By providing your email address, you consent to receive transactional messages relating to your orders and account. You may also opt in to receive marketing email and may unsubscribe at any time using the link in any marketing message.

If you provide a mobile telephone number and opt in to text messages, you consent to receive recurring automated marketing and transactional text messages from us at that number. Consent is not a condition of purchase. Message and data rates may apply. Message frequency varies. Reply STOP to cancel or HELP for assistance.

9. Intellectual property

The Site and its contents, including text, product descriptions, images, photographs, video, graphics, logos, trademarks, trade dress, and design, are owned by or licensed to Mayer Nutrition and are protected by intellectual property laws. "Mayer Nutrition" and our logos are our trademarks and may not be used without our prior written permission.

We grant you a limited, revocable, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not copy, reproduce, republish, scrape, frame, or create derivative works from Site content, or use it to train any machine learning or artificial intelligence model, without our prior written consent.

10. Prohibited uses

You agree not to use the Site to violate any law, infringe any right, transmit malicious code, attempt to gain unauthorized access to any system, interfere with the operation of the Site, scrape or harvest data, or purchase products for unauthorized resale or distribution.

11. Disclaimer of warranties

Except as expressly stated in these Terms or required by law, the Site and all products and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any particular result will be achieved through use of our products. Individual results vary.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply only to the extent permitted.

12. Limitation of liability

To the fullest extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or relating to your use of the Site or your purchase or use of our products, whether based in contract, tort, strict liability, or any other theory, and whether or not we have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms, the Site, or any product will not exceed the greater of the amount you paid us for the product giving rise to the claim, or one hundred U.S. dollars.

Nothing in these Terms limits or excludes liability for personal injury or death caused by our negligence, for fraud or fraudulent misrepresentation, for willful injury, for violation of law, or for any other liability that cannot be limited or excluded under applicable law, including California Civil Code section 1668. Some jurisdictions do not allow the limitation of liability for incidental or consequential damages; in those jurisdictions, the limitations above apply only to the extent permitted.

13. Indemnification

You agree to indemnify and hold harmless Mayer Nutrition and its officers, members, employees, and agents from any claim, loss, liability, or expense, including reasonable attorneys' fees, arising out of your breach of these Terms, your misuse of the Site, your User Content, or your violation of any law or third-party right.

14. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your purchase will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts. Nothing in this Section deprives a consumer of the protection of mandatory provisions of the law of their country of residence.

15. Changes to these Terms

We may update these Terms from time to time. The Effective Date above indicates when they were last revised. Changes take effect when posted, and your continued use of the Site after that date constitutes acceptance.

If we make a material change that affects an active subscription, we will notify subscribers by email before the change takes effect, and the change will apply to that subscription only from the stated effective date forward.

16. General

Entire agreement. These Terms, together with the Returns and Shipping page, the Privacy Policy, and any other policies posted on the Site, constitute the entire agreement between you and us regarding the Site and your purchases.

Severability. If any provision is held unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of that provision or of any other.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, labor disputes, supply chain disruption, carrier failure, and government action.

Survival. Sections 7, 9, 11, 12, 13, 14, and 16 survive termination.

Headings. Headings are for convenience only and do not affect interpretation.
